Offshore Fund Structuring: Cayman and BVI
When an offshore vehicle earns its place next to a Singapore structure, and who does what to put one in place
Singapore Is Usually the Answer. Not Always.
Most of what we structure is domiciled in Singapore, and for most mandates that is the right call. Some mandates argue for something else: an investor base that expects a vehicle it has already seen many times, assets and counterparties that sit outside the region, or a holding structure that needs to work alongside an onshore fund rather than replace it.
FundBridge Capital has established close to 30 investment vehicles across prominent wealth management jurisdictions, including Singapore, the Cayman Islands and BVI. That range exists because the question is decided per mandate rather than by default.

What Drives the Domicile Decision
Who the Investors Are
A structure an allocator recognizes is one less thing to explain in diligence. Cayman vehicles in particular are familiar to global institutional investors, and familiarity has practical value when a fund is being assessed by people who review dozens a year.
Where the Assets Sit
The location of the underlying assets, the counterparties and the banking relationships shapes what is workable. A structure that looks elegant on paper and cannot open the accounts it needs is not a structure.
What It Costs to Run Each Year
Domicile is not a one-off decision. Every vehicle carries audit, filing and administration for as long as it exists, and that recurring load belongs in the comparison alongside the setup cost.
How It Ends
Wind-down, transfer between generations, or migration into another structure later. Vehicles are far easier to unwind when someone thought about the exit while drafting the constitutive documents rather than years afterwards.
Who Does What
FundBridge is licensed and regulated in Singapore. We structure and coordinate the vehicle, appoint and manage the administrators, auditors and custodians behind it, and run the ongoing operations once it is live. We do not act as your offshore counsel: local law firms and registered agents admitted in the Cayman Islands or BVI handle the local formation, filings and legal opinions, and your tax advisor rules on treatment in each jurisdiction that matters to you.
That division is deliberate, and it is the same one we apply to Singapore structures. A platform coordinates and operates. The advisors engaged to give an opinion are the ones who give it.
