Our Capabilities
The licences we hold, the jurisdictions and vehicles we can use, and the operations we run.
A regulated platform, operating since 2017
FundBridge gives investment professionals a single, fully regulated platform to reach opportunity across Asia. What that means in practice is specific rather than general: a set of licences that determine what can be marketed and to whom, a set of jurisdictions and vehicle types a fund can actually be built in, and the operating and compliance work that keeps a vehicle running once it exists.
This page is that list. It is what the platform can do, and what it has done since 2017.

What we are licensed to do
Managers on the platform operate under FundBridge’s licences. Four permissions sit behind that, and each one decides something different about what a fund can do.
Fund Management
Capital Markets Services licence · MAS Singapore
A Capital Markets Services licence for fund management, held by FundBridge Capital Pte. Ltd. and regulated by the Monetary Authority of Singapore.
We act as the licensed fund manager for vehicles on the platform, carrying the regulatory obligations that sit with the manager.
An investment professional can launch and operate a Singapore fund under our licence, using our infrastructure.
Dealing in Capital Markets Products
Collective investment schemes · MAS Singapore
A regulated activity under the Second Schedule to the Securities and Futures Act 2001, held on the same Capital Markets Services licence as our fund management permission.
We can market and offer units in third-party collective investment schemes, and arrange subscriptions and redemptions, as principal or as agent.
Our licensed representatives can market funds managed by other managers, which is what makes distribution of offshore funds possible from Singapore.
Exempt Reporting Adviser
U.S. Securities and Exchange Commission
We file reports with the SEC in reliance on an exemption from investment adviser registration under the Investment Advisers Act 1940. We are not an SEC-registered investment adviser.
We can advise qualifying private funds that admit U.S. investors.
Funds managed by FundBridge can accept U.S. accredited and institutional investors, so U.S. capital can come into a platform fund.
Exempt Financial Adviser
Arranging of life policies, other than for reinsurance
An exemption under Singapore’s financial advisory regime covering the arranging of life policies, other than for reinsurance.
We can arrange life policies where a client structure calls for one.
Wealth structures that pair an investment vehicle with an insurance wrapper can be arranged without a separate intermediary.
FundBridge Capital Pte. Ltd. does not provide tax, legal or accounting advice. Nothing on this page is intended to be relied on as such, and you should consult your own advisors before entering into any transaction.
Where we can domicile a fund
Domicile is decided per mandate rather than by default: it depends on where the investors and the underlying assets sit, and what each jurisdiction expects by way of reporting. These are the vehicles we have established and run.
Singapore
The platform’s home jurisdiction and the domicile for most vehicles we run.
- Private limited companies
- Umbrella VCCs
- Standalone VCCs
- Unit trusts
Cayman Islands
Used where the investor base or the underlying assets make an offshore domicile the better answer.
- Partnerships
- Segregated portfolio companies
- Exempted companies
Elsewhere
Structures we have established where a mandate required them.
- British Virgin Islands
- U.S. Delaware
- Japanese TK / GK structures
What we run on the platform
Streamlined, fully regulated infrastructure for experienced investment professionals, so their time goes to investing.
Fund establishment and operations
End-to-end fund setup, administration and the day-to-day operational work of running a vehicle: capital calls, subscriptions and redemptions, disbursements, and the standing relationship with the fund administrator.
Compliance and regulatory support
Ongoing KYC and AML on investors, fit-and-proper management of the investment committee and its licensed representatives, internal audits, outsourcing reviews, and the regulatory obligations that sit with the licensed entity.
Cost-efficient structures
Structures chosen to reduce cost and administrative burden rather than to maximise complexity. We have secured 13O and 13U tax incentives for many vehicles on the platform, working alongside each client’s own tax advisors.
Governance and oversight
Independent oversight, risk controls and the monitoring that keeps investments and divestments consistent with a fund’s stated mandate and risk framework.
Strategic partnerships
Standing relationships with fund administrators, auditors, banks, custodians, prime brokers, and legal and tax counsel — already in place and already working together.
Support and incubation
Hands-on support for managers launching a first fund, including the education a first launch needs and direct access to the principals who run the platform.
For the strategies and asset classes these capabilities have been used on, see Our Expertise. For how a manager comes onto the platform, see the Fund Platform.
